Agreement for Metadata Contributed to the Getty Research Portal™


This Agreement (the "Agreement") is made and entered into as of the date of its online submission, by and between the J. Paul Getty Trust, a California charitable trust, with its principal place of business at 1200 Getty Center Drive, Los Angeles, California, 90049 ("Receiving Institution"), and you (the "Contributing Institution").

A program of the Receiving Institution, the Getty Research Institute, has developed a repository of metadata for the purpose of facilitating free public access to digitized art history texts and related research resources: the Getty Research Portal (the "Portal"). The Portal is a compilation of data from various contributors and various sources and will be supplemented and updated based upon contributions from institutions and other sources. Access to the Portal is offered to the public free of charge via the internet.

The Contributing Institution is developing or has metadata compatible with the scope of the Portal, and the Contributing Institution wishes to contribute this metadata to the Portal.

NOW THEREFORE, based on the above premises, the parties agree as follows:

1. CONTRIBUTIONS
A. The Contributing Institution agrees to supply metadata in the format indicated in the Guidelines for Contributions or another format agreed upon by the Receiving Institution.

B. The Contributing Institution warrants that its contributions are within the current content scope of the Portal, including a warranty that the digitized texts to which the metadata relate either are in the public domain or are made available under terms of use intended to promote research and scholarship. It is the responsibility of the Contributing Institution to make its terms of use for the digitized text visible to the user on the Contributing Institution's own website.

C. The Receiving Institution agrees to incorporate appropriate contributed metadata into the merged format of the Portal and to cite the Contributing Institution as the source for the metadata contributed by the Contributing Institution. All Contributing Institutions will be acknowledged on the Portal website.

D. The Contributing Institution agrees that its contributed metadata will become a permanent part of the Portal and grants a perpetual, royalty-free, sublicensable license to use the metadata for the purposes stated herein. The Contributing Institution acknowledges and agrees that Portal metadata is offered to users under the Creative Commons Zero 1.0 Universal Public Domain Dedication. http://creativecommons.org/publicdomain/zero/1.0/

E. The Receiving Institution maintains final editorial control over the Portal and reserves the right to refuse metadata contributions that do not follow the Guidelines for Contributions or are outside the scope or are otherwise inappropriate contributions to the Portal.

F. The Contributing Institution warrants that the contributed metadata does not infringe any proprietary rights or any statutory copyright.
2. CONTENT
A. The Receiving Institution agrees to make available the metadata repository free of charge on the website of the J. Paul Getty Trust and other locations as appropriate. Linking to it from external websites is strongly encouraged.

B. Both parties acknowledge that the terms of use for the digitized texts on the Contributing Institution's website are determined by the Contributing Institution and/or its service provider.

C. The Receiving Institution may make back-up copies of the Portal and undertake other actions to ensure preservation and sustainability of the Portal.

D. The Receiving Institution is under no obligation to maintain the Portal and has the right to cease operation at any time. Should the Receiving Institution cease to operate the Portal, it will attempt to provide the Contributing Institutions with advance notice and make a good faith effort to transfer it to another institution.
The Contributing Institution indemnifies and holds harmless the Receiving Institution and other Contributing Institutions against any and all allegations, claims, and causes of action (whether threatened or pending), costs, fees, and expenses (including reasonable attorney fees), losses, damages, judgments, and liabilities arising from or relating to contributions made by the Contributing Institution and incorporated into and made accessible without restrictions via the Portal.
